First off, don’t just take their word that their liability insurance covers your brand. Ask for a certified copy of their policy and have your insurance agent cross-check that it explicitly excludes your business from being held liable for their compliance slip-ups. I once found a partner whose policy only covered their own equipment damage, not third-party brand repercussions—would’ve cost me thousands in cleanup if we’d moved forward.
Never skip unannounced virtual walkthroughs of their warehouse. Scheduled tours are always polished, but popping in randomly lets you spot red flags like improper storage of cleaning chemicals near food-grade inventory, or untrained staff mishandling fragile items that could lead to customer complaints and product recalls. I caught one partner where half their team didn’t know how to apply hazmat labels correctly—something they’d sworn they trained everyone on.
Dig into their shipping compliance records for the past six months. Ask for a full audit trail of every restricted item they’ve shipped (think battery-powered gadgets, cosmetics with harsh ingredients) to make sure all required labels and documentation were included. A single missing label can get your entire shipment seized by customs, eating into margins and ruining customer trust. I’ve seen competitors lose 15% of their quarterly inventory this way.
Finally, make sure your contract has an airtight hold-harmless clause. This should explicitly shift all responsibility for compliance fines, customer lawsuits stemming from their mistakes, and inventory losses due to their negligence directly to them. Don’t let them water this down—if they push back, walk away. There are plenty of partners who understand that compliance is non-negotiable for both of us.
